1. Definitions

  • Certain products or services are available exclusively online and may be limited in quantity. Returns and exchanges follow our Refund Policy.
  • We strive to accurately display product colors and images, but cannot guarantee monitor fidelity.
  • We may limit sales by person, region, or jurisdiction at our discretion.
  • We do not warrant that the quality of any products or services will meet your expectations or that errors will be corrected.

(iv) use the digital content in a manner that violates any applicable laws or regulations.

(c) Ownership: The digital content is licensed, not sold, to you. We and our licensors retain all right, title, and interest in and to the digital content, including all intellectual property rights.

(d) Availability: We may modify, suspend, or discontinue the availability of any digital content at any time without notice.

(e) Technical Requirements: Your ability to access and use the digital content may depend on certain device and system requirements. You are responsible for ensuring that your system meets these requirements.

(f) No Warranty: Digital content is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Billing & Account Information

  • You will have an opportunity to review and confirm your order details before it is finalized. Our acceptance of your order is confirmed by sending you a notice; the contract is then binding and risk of loss passes to you upon delivery.
  • We may refuse or limit any order for any reason, including suspected fraud or abuse.
  • You agree to provide and maintain accurate, complete, and current account and payment information.

11. Points System and Coupons

If Ninja John offers a points system or issues coupons, the following terms shall apply:

(a) Points:

(i) Points may be awarded for certain activities as determined by Ninja John. The amount of points awarded and the activities eligible for earning points are subject to change at our sole discretion.
(ii) Points have no cash value and can only be redeemed for rewards or discounts on the Service as expressly offered by Ninja John.
(iii) The redemption value of points is determined by Ninja John and may be changed at any time.
(iv) Points are non-transferable and cannot be combined with points earned by other users.
(v) Points may expire after a certain period as specified by Ninja John. We reserve the right to expire points without notice.
(vi) Ninja John reserves the right to modify, suspend, or terminate the points system at any time without liability.
(vii) We may deduct points from your Account if we determine that they were earned fraudulently or in violation of these Terms.

(b) Coupons:

(i) Coupons may be issued by Ninja John for discounts on products or services offered through the Service.
(ii) The terms and conditions applicable to each coupon, including the discount amount, validity period, and any restrictions, will be specified at the time of issuance.
(iii) Coupons are non-transferable and may only be used once per user unless otherwise specified.
(iv) Coupons cannot be combined with other offers or discounts unless expressly permitted by Ninja John.
(v) Ninja John reserves the right to modify, suspend, or terminate the coupon program or any specific coupon at any time without liability.

(c) Abuse: Any attempt to manipulate the points system or misuse coupons may result in the termination of your Account and forfeiture of any accrued points or unused coupons.

12. Gift Card Terms

If Ninja John offers gift cards, the following terms shall apply:

(a) Purchase and Use: Gift cards may be purchased up to a specified value and are redeemable for eligible products and services offered through the Service, subject to these Terms and any additional terms and conditions provided with the gift card.

(b) Redemption:

(i) To redeem a gift card, you must follow the instructions provided at the time of use. 
(ii) Gift cards cannot be redeemed for cash unless required by applicable law.
(iii) If your purchase exceeds the gift card balance, you must pay the remaining amount using another accepted payment method.
(iv) Multiple gift cards may be redeemable for a single purchase, subject to any limitations specified by Ninja John.

(c) Balance Inquiry: You may check your gift card balance through the methods specified by Ninja John (e.g., website, customer support).

(d) Validity and Expiration:

(i) Gift cards are valid for a specified period from the date of issuance, as indicated on the gift card or accompanying materials.
(ii) After the expiration date, the gift card may become void, and any remaining balance may be forfeited, unless otherwise required by applicable law.

(e) Non-Transferable and Non-Reloadable: Unless otherwise specified, gift cards are non-transferable and cannot be reloaded with additional value.

(f) Lost or Stolen Gift Cards: Ninja John is not responsible for lost, stolen, damaged, or unauthorized use of gift cards. The value of a lost or stolen gift card will not be replaced.

(g) Modification or Termination: Ninja John reserves the right to modify, suspend, or terminate the gift card program or these terms at any time without notice.

(h) Compliance with Law: The use of gift cards is subject to all applicable laws and regulations.

13. Referral Program

If Ninja John offers a referral program, the following terms shall apply:

(a) Eligibility: Participation in the referral program is subject to eligibility criteria as determined by Ninja John.

(b) Referral Process: To refer a friend, you must follow the specific instructions provided by Ninja John for the referral program.

(c) Rewards: Rewards for successful referrals (e.g., points, discounts, credits) will be determined by Ninja John and are subject to change at our sole discretion. The conditions for earning a referral reward (e.g., the referred friend making a qualifying purchase) will be specified in the referral program details.

(d) Restrictions:

(i) You may only refer individuals with whom you have a direct personal relationship.
(ii) You may not refer yourself or create multiple accounts to earn referral rewards.
(iii) Referral links or codes should not be distributed on public forums or through other means that constitute spam.
(iv) Ninja John reserves the right to limit the number of referrals you can make or the rewards you can earn.

(e) Modification or Termination: Ninja John reserves the right to modify, suspend, or terminate the referral program at any time without notice or liability.

(f) Clawback: Ninja John reserves the right to revoke referral rewards if we determine that referrals were made fraudulently or in violation of these Terms or the specific referral program rules.

 

14. Optional Third-Party Tools

  • We may provide access to third-party tools “as is” and “as available,” without any endorsement or warranty.
  • Your use of optional tools is at your own risk and subject to the third party’s terms.
  • Future tools and features will also be governed by these Terms.
  • We expressly disclaim any liability for any loss or damage arising from your use of optional third-party tools. Such tools are provided solely for your convenience, and your use of them is entirely at your own risk and subject to the applicable terms and conditions of the relevant third-party provider.

15. Third-Party Links

  • The Service may contain links to third-party websites that are not owned or controlled by us. These links are provided for your convenience only and do not constitute an endorsement, approval, or warranty by Ninja John of the content, products, services, policies, or practices of any third-party website. 16. User Comments & Feedback

  • Any comments or materials you submit may be used by us in any medium without compensation or obligation.
  • We have no duty to maintain comments in confidence, to pay for them, or to respond.
  • We may remove any content we deem unlawful, offensive, or in violation of these Terms.
  • You are solely responsible for your comments and their compliance with applicable laws and third-party rights.

17. Prohibited Uses

  • (a) General Prohibited Uses: You agree not to use the Service for any of the following:

(i) circumventing security features; 
(ii) any unlawful purposes;
(iii) soliciting others to commit unlawful acts;
(iv) violating regulations, rules, or laws;
(v) infringing any intellectual property rights (including ours or third parties');
(vi) harassing or discriminating against protected groups;
(vii) submitting false or misleading information;
(viii) transmitting malware;
(ix) collecting personal information of others;
(x) spamming, phishing, scraping;
(xi) obscene or immoral purposes. 

We may terminate your access for violations. 

  • (b) Prohibited User-Generated Content: You agree that your User-Generated Content and your use of the Service will not:

(i) be unlawful, harassing, libelous, abusive, threatening, defamatory, vulgar, obscene, or otherwise objectionable;
(ii) infringe or violate the intellectual property rights or other rights of any third party;
(iii) contain viruses, worms, malware, or other harmful or disruptive code;
(iv) impersonate any person or entity or misrepresent your affiliation with any person or entity;
(v) constitute spam, junk mail, or unauthorized advertising;
(vi) otherwise violate these Terms, any applicable laws or regulations, or the rights of others;
(vii) collect or attempt to collect personal information of others.

We may remove any User-Generated Content that violates these terms and may terminate your access for violations.

19. Errors & Omissions

  • We reserve the right to correct any errors or omissions in product descriptions, pricing, or availability and to change or cancel orders.
  • We are not obligated to update site information except as required by law.

20.Disclaimer of Warranties

  • The Service is provided “as is” and “as available” without any warranty.
  • We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
  • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
  • You assume full responsibility for any costs of servicing or correcting equipment or data.

21. Limitation of Liability 

  • To the fullest extent permitted by law, our liability to you is limited to the greater of (a) the purchase price of the product at issue or (b) ten dollars (USD).
  • We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

22. International Shipping & Customs

  • You are responsible for import duties, taxes, and customs fees when ordering goods internationally.
  • Manufacturer warranties and service options may not apply outside the seller’s country.
  • You are responsible for all applicable taxes, duties, and fees unless otherwise stated.

23. Fees

  • You are responsible for any fees associated with using the Service or accessing the internet.
  • If legal action is necessary to collect amounts owed, you agree to reimburse us for all collection costs.

24. Force Majeure

  • Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, government actions, labor disputes, supply shortages, internet outages, cyberattacks, and other unforeseen circumstances.

25. Indemnification

  • You agree to indemnify, defend, and hold harmless Ninja John and its affiliates from any claims, damages, or expenses (including attorneys’ fees) arising from your breach of these Terms or violation of applicable laws.

27. Confidentiality

  • You must not disclose any of our confidential information obtained through your use of the Service. This obligation survives termination.

  • Either party may terminate these Terms at any time.
  • Upon termination, your right to use the Service ends, but obligations such as confidentiality, indemnification, and liability limitations survive.

29. Severability

  • If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.

30. Miscellaneous

  • Neither party may assign or delegate any rights or obligations under these Terms without the prior written consent of the other party.
  • No provision of these Terms is intended to benefit any third party.

31. Entire Agreement; Governing Law & Jurisdiction

  • These Terms, together with any policies posted on this site, constitute the entire agreement between you and us.
  • These Terms are governed by Japanese law, and any disputes will be resolved exclusively in the Tokyo District Court.

32. Notices

  • All notices required or permitted under these Terms shall be in writing and shall be deemed given at the time they are:
    1. Posted on the Service’s notice page; or
    2. Sent by email to the address you have registered with us.
  • Notice by posting on the Service is effective upon the date of posting. Notice by email is effective upon the date of transmission, provided it does not generate a delivery failure notice. You agree to keep your registered email address up to date and to notify us promptly of any changes.

  • We will notify you of changes to these Terms by posting the revised Terms on our site. We may also send additional notices by email.
